1. Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of the Betacare marketing website located at our public web domains (the "Site") and, where applicable, preview or early access to Betacare products made available by us. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
Use of the full Betacare healthcare operating system platform ("Platform") by hospitals, clinics, or other organisations is subject to a separate written or click-through agreement, order form, or data processing terms ("Customer Agreement"). If there is a conflict between these Terms and a Customer Agreement regarding Platform use, the Customer Agreement controls for that customer.
2. About Betacare
Betacare is Africa's intelligent healthcare operating system connecting clinical, financial, and patient-experience workflows for hospitals and clinics. The Platform is designed to connect clinical workflows, hospital operations, billing and payments, patient wallets, analytics, and staff portal capabilities with role-based access controls suitable for healthcare environments in Nigeria and across Africa.
The Site provides general information about our company, solutions, and ways to request demos or contact our team. Features described on the Site may be under development, offered in limited release, or vary by customer configuration. We do not guarantee that every capability mentioned on the Site is available in your jurisdiction or at a specific time.
3. Eligibility
The Site is intended for individuals who are at least 18 years old and for organisations evaluating or using healthcare technology in a professional capacity. By using the Site, you represent that you meet these requirements and that any information you provide is accurate.
4. Accounts and facility customers
4.1 No public self-service accounts on the Site
The marketing Site may not offer open registration for Platform accounts. Access to the Platform is provisioned for facility customers under a Customer Agreement. Credentials issued to customer administrators and end users must be kept confidential.
4.2 Customer responsibilities
Facility customers are responsible for:
- Ensuring staff use the Platform in compliance with law, professional standards, and internal policies.
- Maintaining accurate role assignments and promptly revoking access for departed staff.
- Obtaining lawful bases and providing required notices to patients and staff whose data is processed in the Platform.
- Clinical decisions, diagnosis, treatment, and billing practices performed using or alongside the Platform.
4.3 Betacare responsibilities
Betacare will provide the Platform and support described in the applicable Customer Agreement and will implement reasonable security measures consistent with our role as a technology provider. Specific service levels, uptime commitments, and support channels are defined in customer contracts, not on this marketing Site.
5. Demo requests, contact forms, and communications
When you submit a demo request, contact form, or email to Betacare, you agree that we may use the information you provide to respond, qualify interest, schedule meetings, and follow up about Betacare products and services, as described in our Privacy Policy. Early-stage lead handling may involve internal review by sales and support personnel and generic service providers for hosting and email.
You must not submit unlawful, offensive, or confidential third-party information without authority. Do not include patient identifiable health records in marketing forms unless we explicitly request them under a separate secure process.
6. Acceptable use
You agree not to misuse the Site or Platform. Prohibited conduct includes, without limitation:
- Attempting to gain unauthorised access to systems, accounts, or data.
- Probing, scanning, or testing vulnerabilities except with our prior written consent as part of an agreed security programme.
- Introducing malware, interfering with service availability, or overloading infrastructure.
- Scraping or harvesting data from the Site in violation of robots rules or applicable law.
- Using the Site to transmit spam, phishing, or fraudulent content.
- Impersonating Betacare, our founders, employees, or other users.
- Using the Platform to store or process data in violation of Nigerian law, healthcare regulations, or third-party rights.
- Reverse engineering the Platform except to the limited extent permitted by mandatory law.
We may suspend or terminate access for conduct we reasonably believe violates these Terms or poses risk to users, customers, or systems.
7. Intellectual property
7.1 Betacare materials
The Site, Platform, software, documentation, logos, trademarks, and other content provided by Betacare are owned by Betacare or its licensors and protected by intellectual property laws. Except as expressly permitted in a Customer Agreement or by us in writing, you may not copy, modify, distribute, sell, or create derivative works from our materials.
7.2 Customer and user content
Facility customers retain ownership of data they and their end users submit to the Platform. Customers grant Betacare the rights necessary to host, process, transmit, display, and backup that data solely to provide and improve the services under the Customer Agreement.
7.3 Feedback
If you provide suggestions, ideas, or feedback about Betacare products, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without restriction, provided we do not identify you as the source without permission.
8. Not medical advice; clinical disclaimer
Betacare provides software and related services to healthcare organisations. Nothing on the Site or in the Platform constitutes medical advice, diagnosis, or treatment. Content on the Site is for general information about our company and products.
Clinical decisions must be made by qualified healthcare professionals and facilities. Betacare does not practice medicine and is not a substitute for professional judgment, emergency services, or regulatory compliance by customers. Always seek appropriate clinical guidance for patient care.
9. Third-party services and integrations
The Platform or Site may enable integrations with payment providers, laboratories, imaging systems, or other third parties. Third-party services are governed by their own terms and privacy policies. Betacare is not responsible for third-party services except as expressly stated in a Customer Agreement.
10. Availability and changes
We strive to keep the Site available and accurate but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Site or Platform features at any time, including during early-stage product development. Where a Customer Agreement specifies change management or notice periods, those terms apply to contracted Platform services.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ANY PREVIEW ACCESS TO THE PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that the Site or Platform will meet your requirements, that operation will be uninterrupted or secure, or that all errors will be corrected. Warranties for paying customers may be set out in a Customer Agreement.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BETACARE AND ITS FOUNDERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE AND THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT, OR (B) ONE HUNDRED THOUSAND NAIRA (NGN 100,000), IF YOU HAVE NOT PAID US FOR SITE ACCESS.
Nothing in these Terms limits liability that cannot be limited under Nigerian law, including liability for fraud or wilful misconduct. Platform liability caps and exclusions for facility customers may differ under Customer Agreements.
13. Indemnity
You agree to indemnify, defend, and hold harmless Betacare and its founders, officers, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your misuse of the Site or violation of these Terms.
- Your violation of law or third-party rights, including intellectual property or privacy rights.
- Content or data you submit through forms or, if applicable, through the Platform without proper authority.
- Clinical, billing, or operational decisions made by you or your organisation when using or not using Betacare tools.
Facility customers may have reciprocal indemnity provisions in Customer Agreements that supersede or supplement this section for Platform use.
14. Privacy
Our collection and use of personal data through the Site are described in our Privacy Policy and Cookie Policy. By using the Site, you acknowledge those policies.
15. Governing law and dispute resolution
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles that would apply another jurisdiction's law.
Subject to mandatory consumer protections that may apply to you, the courts of the Federal Capital Territory, Abuja, Nigeria shall have exclusive jurisdiction over disputes arising out of or relating to these Terms and the Site, except that Betacare may seek injunctive or equitable relief in any competent court to protect its intellectual property or security interests.
Before commencing formal proceedings, the parties agree to attempt in good faith to resolve disputes through written notice and negotiation for at least thirty (30) days, unless urgent injunctive relief is required.
16. Export and compliance
You agree to comply with applicable export control, sanctions, and anti-corruption laws. You may not use the Site or Platform if you are prohibited from receiving services under Nigerian or international law.
17. General provisions
- Entire agreement (Site): These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement regarding the Site, superseding prior oral or written understandings on that subject.
- Severability: If any provision is held invalid, the remaining provisions remain in effect.
- No waiver: Failure to enforce a provision is not a waiver of future enforcement.
- Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure: Betacare is not liable for delays or failures caused by events beyond reasonable control, including network outages, acts of government, natural disasters, or widespread health emergencies, except where Customer Agreements specify otherwise for paid Platform services.
18. Changes to these Terms
We may update these Terms from time to time. The effective date at the top of this page indicates when the current version took effect. Material changes may be highlighted on the Site or communicated to registered contacts where appropriate. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms, subject to applicable law.
